ICORX Services Private Limited, a Company incorporated under the Companies Act, 2013 and having it’s registered office located at Shop No 8, Malkhar Classic, Garkheda, Aurangabad, Maharashtra, 431001 and CIN- U72900MH2020PTC345995 through its Director & Authorised Representative Pravin Modi [Hereinafter unless the context otherwise requires be referred to as “ICORX”].
Operating under the brand “ICORX,” the Company offers its services through various communication channels, including mobile applications, WhatsApp and Facebook groups, Instagram pages, email, SMS, and other media it hosts. Your use of ICORX’s services (as defined below) indicates your explicit acceptance of these T&C. These terms, along with our Privacy Policy and any other relevant policy, are incorporated into this agreement. By accepting these T&C, you agree to comply with all terms and conditions stipulated here (unless explicitly made optional). Once accepted, these T&C will continue to apply until you formally withdraw your consent by notifying us in writing. In cases where a separate agreement has been executed between you and ICORX, any deviations from these T&C will only be recognized if explicitly agreed to in writing by both parties. IF YOU DO NOT AGREE TO THESE T&C IN FULL, PLEASE REFRAIN FROM USING OUR SERVICES.
T&C Updates or Modifications
ICORX may periodically update, amend, modify, or revise these T&C. The date of any changes will be marked on this page, and your continued use of ICORX services following such updates will constitute your acceptance of these modifications. We encourage you to review these T&C regularly to stay informed about any additions, revisions, or amendments that may impact your use of our services.
Services Provided to Users
ICORX Academy offers users access (in both online and offline modes) to various mentorship and training programs, covering a range of fields within Information Security and IT skills development, such as Ethical Hacking, Bug Bounty Hunting, API Penetration Testing, Network Penetration Testing, Web Application Penetration Testing, SOC Analysis, and more. These programs (collectively referred to as “Service(s)” or “ICORX Services”) are designed to support career growth across multiple industries and backgrounds. Each training course may be referred to as a “Program” and, together, as “Programs.”
ICORX reserves the right, at its sole discretion, to add, modify, suspend, or discontinue any part of the Services at any time. Your continued use of ICORX Services after such changes (including the addition or removal of features) will indicate your acceptance of these adjustments. All information provided by you for registration and account setup must be accurate, complete, and current. You are responsible for all activities under your account and for maintaining the confidentiality of your login credentials. ICORX is not liable for the accuracy or legality of any data or User Data submitted after enrolment. As long as your account is accessed with valid credentials, and unless you notify us of unauthorized access, you are solely accountable for actions related to your account.
In consideration of your acceptance of these T&C, and if applicable, any subscription or similar agreement between you and ICORX, ICORX grants you a personal, non-exclusive, non-transferable, non-sublicensable, and revocable limited license to access the Services in accordance with these T&C.
Access to ICORX Academy Resources
During your enrolment with ICORX Academy, you will have access to various resources designed to enhance your learning experience. Access policies may vary based on resource type and program structure.
The resource access policies are as follows:
Cohort-Based Learning: ICORX Academy provides services in a Cohort or Batch format through both online and offline channels. One-on-one mentorship is not typically offered, and courses are structured to support collaborative learning within groups.
Program Resources: ICORX Academy offers a comprehensive package of resources within its cohort-based mentorship programs, including Masterclasses, Online or Offline Training, Live Mentor-led Sessions, Recorded Videos, Assignments, Assessments, Quizzes, Cheat sheets, Notes, and more. These resources are subject to change as required by ICORX to meet program needs without prior public announcement.
Recording of Mentor Sessions: Students have guaranteed access to session recordings for up to 7 Days following the completion of their final mandatory class. In the event of unforeseen circumstances, ICORX will provide a 15-day advance notice before any change to this access period. ICORX may also extend the access period at its discretion.
Mentors: ICORX programs are led by qualified professionals and industry experts. Access to live cohort sessions led by mentors is available on the LMS platform as per scheduled sessions. Recordings will be accessible after the live session has ended.
Delivery Support: A dedicated Delivery Support Executive (DSE) is assigned to assist you throughout your ICORX learning journey. Your DSE will handle concerns related to class quality, mentor feedback, fee payments, technical issues, and general program-related inquiries. The contact information of your DSE is provided via your specific cohort’s community group, and students are encouraged to direct queries to this primary point of contact.
Community Groups: Each student is added to cohort-specific communities on platforms such as Discord, LMS Group and WhatsApp to facilitate seamless communication, discussions, and timely program-related updates. These groups offer peer support; however, ICORX does not guarantee responses from other students or peers. Certain community groups may remain accessible to you indefinitely, barring any LMS platform discontinuation.
Resource Access Duration: You will have access to program resources hosted on the LMS for an additional 90 Days post-program completion. Limited resources may be available beyond this period. In the rare case that ICORX must revoke access to program data, a 15-day notice will be provided.
Career Support Services
ICORX Academy prepares students for relevant job and placement opportunities through the following support channels:
Job Readiness Support: For specific programs such as Ethical Hacking, Cybersecurity, and Penetration Testing, ICORX provides a dedicated “Last Mile Prep” program. This seven-day pre-placement program includes support services such as resume optimization, LinkedIn profile enhancement, mock interviews*, and portfolio building to help students be job-ready.
To qualify for Job Readiness Support, students must attend at least 70% of live sessions and complete the program in full (either online or offline). Students who do not meet the 70% attendance requirement will receive only a Certificate of Completion.
Mock Interviews with Industry Experts: Students enrolled in eligible ICORX programs, such as Cybersecurity and Ethical Hacking, are eligible for up to three mock interviews with industry experts, simulating real interview scenarios. These interviews can be scheduled up to three months after the completion of the final mandatory class, allowing flexibility in utilizing the available interview slots.
Community Job Opportunities: ICORX hosts community groups where alumni, peers, and mentors may post job opportunities and connect students with relevant positions, as available.
Placement Assistance: Students who complete the Last Mile Prep program successfully are eligible for ICORX’s “Recruiter Connect” support, through which ICORX collaborates with its recruiter partner network to identify placement opportunities for qualified students.
Important Note 1: Students enrolled in eligible programs must complete the Last Mile Prep program to access Job Readiness Support. Placement Assistance is offered only to students who meet the minimum 70% overall score requirement for program completion.
Important Note 2: ICORX Academy’s Job Readiness and Placement Assistance Services are designed to provide rigorous mentorship, domain expertise, networking opportunities, and dedicated channels to help students pursue competitive job opportunities in the industry. These services should not be interpreted as a job guarantee. ICORX does not promise or imply any job guarantee, as success depends on individual competence and effort.
ICORX may collaborate with companies to assist in hiring students directly. Any help through this channel will be limited to within six months after the completion of a student’s final mandatory class as part of the enrolled program.
ICORX Academy reserves the right to withdraw access to the aforementioned resources if you withdraw from the course, violate the T&C outlined herein, or in the event of account termination or suspension.
Fee Payments
Unless otherwise agreed upon in writing by ICORX Academy, full payment of the program fee is required at the time of enrolment.
To make a payment for any program offered by ICORX, students must obtain a secure payment link from an authorized Program Advisor representing ICORX.
Students are responsible for having internet access and a valid, accepted payment method as specified on the LMS Platform (“Payment Method”).
ICORX does not store your credit card information or any other sensitive financial data restricted by the Reserve Bank of India (RBI). All payments are processed through secure, partnered payment gateways.
Payment Options: ICORX offers two payment options—Self-financing and NBFC-financing.
- Self-financing: Students opting for self-financing must make a one-time payment for the full program fee. Students may request a one-time payment discount through their Program Advisor. However, ICORX does not provide options for EMIs or instalment payments under the Self-financing model.
- NBFC-financing: For students who prefer to finance the program fee, ICORX partners with third-party payment providers to offer Zero-Interest EMIs (6/9/12 months) through NBFCs, providing financing options with flexible EMIs. It’s important to note that ICORX partners with these NBFCs solely for the convenience of students.
By using a third-party payment provider (“TPPP”), you agree to follow the terms and policies set by that provider. ICORX is not responsible for any data storage by the third-party provider; it is solely at your discretion to permit such storage as per their terms.
EMI Compliance: Students must strictly adhere to the EMI schedule set by the TPPP. Applicable penalties may be imposed in the case of EMI lapse or delays.
No ICORX employee is authorized to negotiate EMI or loan settlements between students and the TPPP.
Processing Fees: Students are responsible for all applicable processing fees when using NBFC-financing.
Program Changes and Pauses for NBFC-financing: Students who opt for NBFC-financing are not eligible for program changes. However, they may request a program pause. Please note that EMI payments must continue according to the TPPP schedule during a program pause.
After completing the payment, students should obtain a tax invoice from their designated Program Advisor.
Program Pause and Change Provision
Program Pause: To support flexible learning and workload balance, ICORX Academy offers students the option to take a “Program Pause.” This allows students enrolled in ICORX programs, such as Cybersecurity, Ethical Hacking, Penetration Testing, and others listed on our website, to temporarily pause their studies.
A student may request a Pause State up to two times during their program tenure by emailing their designated Delivery Support Executive (DSE) or contacting support@icorx.com.
During the pause period, access to the LMS Platform and other resources will be temporarily revoked, and no new lectures will be available. Students will be assigned to a new cohort when resuming their program. The Program Pause provision does not impact NBFC-financing terms, and students must continue to meet their EMI payment obligations as per the payment schedule.
Program Change: ICORX allows students a one-time program change, enabling them to switch from their current program to another offered by ICORX. A Program Change request must be submitted within 15 days from the start date of the initial program by emailing the respective DSE or support@icorx.com. Any payments already made toward the current program will be adjusted to the course fee of the new program.
Program changes requested within the specified 15-day period are processed without additional charges. Requests made after this timeframe will not be accepted.
No refunds will be provided after a Program Change, regardless of any other provisions stated herein.
Support
ICORX Academy offers dedicated support via support@icorx.com. Students can reach out with program feedback, suggestions, concerns, grievances, learning issues, and other inquiries. ICORX will make all reasonable efforts to respond to support requests or resolve any issues as appropriate. Any advice provided by ICORX regarding the use of the LMS Platform should not be interpreted as a warranty.
Termination
ICORX Academy reserves the right to suspend or terminate your access to services, with or without notice, and to pursue any remedies available under the law in the following cases:
- You breach any terms and conditions outlined in these T&C.
- ICORX is unable to verify or authenticate any information provided by you.
- ICORX has reasonable grounds to suspect illegal, fraudulent, or abusive activity on your part.
Once suspended, indefinitely suspended, or terminated, you may not continue to use the LMS Platform or other resources under the same or a new account. ICORX reserves the right to delete all data and information associated with your account at its discretion. All provisions in these T&C that are intended to survive termination, including but not limited to warranty disclaimers, indemnity, and limitations of liability, will remain in effect.
Enrolment and Account Integrity
As part of the enrolment process, you are required to accept these T&C and provide accurate information, including your name, phone number, email address, identity proof, and in certain cases, the contact details of a parent or guardian. You must also complete an application form with information about your educational background, professional experience, and purpose for enrolling in the program. ICORX retains the sole discretion to approve or deny enrolment requests. We will never request your password, unless you explicitly grant permission for account access in response to a support request.
It is your responsibility to ensure that all information you provide is accurate, secure, and truthful.
You are solely responsible for obtaining and maintaining the equipment or services necessary to connect to and use ICORX Services or the LMS Platform. This includes hardware, software, internet, wireless, broadband, or phone services. Ensuring compatibility with the LMS Platform and covering any associated charges are solely your responsibility.
Use of Your Information and User Data
All User Data that you create, transmit, submit, display, or otherwise make available while using ICORX Academy Services should be information that you own or have the right to use and share. If you transfer any personally identifiable information to us, we assume that you have informed any relevant persons and obtained necessary consent for its transfer, sharing, processing, and use on the LMS Platform and as part of the Services. ICORX may use such information as outlined in our Privacy Policy and in accordance with applicable laws.
Although we make commercially reasonable efforts to ensure the security and availability of data stored on our servers, ICORX is not responsible for data loss or inaccessibility due to third-party server failures or any other factors beyond our control, which may render User Data permanently deleted, irretrievable, or temporarily inaccessible.
Third-Party Links and Services
To provide ICORX Services, we collaborate with multiple third-party service providers. In doing so, we may share User Data with certain third-party providers as necessary to enable these services. We will make efforts to ensure that our third-party providers are bound by confidentiality and data privacy obligations consistent with those we uphold. The LMS Platform may include links to third-party websites, which ICORX does not control. ICORX is not responsible for the content, privacy policies, or practices of any third-party websites. By using the LMS Platform, you release ICORX from any liability arising from your use of these third-party sites or services.
Rules and Acceptable Usage Policy
As a condition of use, you agree not to use ICORX Academy Services for any prohibited purposes as defined by these T&C, by law, or by other rules and policies ICORX may implement. ICORX Services and content are provided solely for your personal, non-commercial learning and upskilling. You agree to notify ICORX immediately if you observe any other user breaching these T&C or any associated program policies.
While accessing the program via the LMS Platform or any ICORX-hosted community, you agree not to:
- Harass or use offensive language;
- Create an atmosphere of hostility or discord within student groups;
- Use unethical methods to complete projects, assignments, quizzes, or other program activities;
- Share any ICORX Content (including learning materials and assessments) with others through any media;
- Share answers or solutions to projects, assignments, quizzes, or other evaluations, or use any unfair methods to complete program requirements.
Content Ownership and Copyright Conditions of Access
All program content hosted on or outside the ICORX LMS Platform—including but not limited to live or recorded videos, text, graphics, user interfaces, visual interfaces, audio, artwork, and computer code—is owned and controlled by ICORX Academy and/or its licensors. The design, structure, selection, expression, and arrangement of this content are protected by copyright, patent, trademark, and other intellectual property laws. ICORX reserves all rights, title, and ownership in and to the LMS Platform and its content.
The logos, trademarks, and service marks appearing on the ICORX Platform are the property of ICORX Academy and are protected by applicable intellectual property laws.
Copying, distributing, displaying, reproducing, modifying, or otherwise using ICORX content in ways not expressly permitted by these T&C is a violation of copyright and other intellectual property rights, and ICORX reserves its rights to seek legal recourse as applicable.
You retain full ownership and rights to any data or content you provide (“User Data”). This includes taking responsibility for any breaches of confidentiality, intellectual property rights, or other third-party rights associated with your data. By sharing any User Data through ICORX Services, you grant ICORX and its affiliates a worldwide, non-exclusive, royalty-free, irrevocable, sublicensable, and transferable license to use, copy, format, modify, translate, display, sell, create derivative works, and distribute this data as needed to facilitate ICORX services.
Reviews and Feedback
ICORX Academy may contact you via phone, email, WhatsApp, SMS, or other electronic methods to:
- Gather feedback about the program or ICORX services; and/or
- Address any complaints, queries, or concerns you may have.
Any feedback you provide may be used by ICORX without restriction or obligation to compensate you, and ICORX is not required to keep this feedback confidential.
Rights and Obligations Relating to the Content
You agree not to:
- Violate or attempt to breach the integrity or security of the LMS Platform or any content hosted on it;
- Transmit any program-related information or content (including messages and links) that is disruptive or conflicts with the services provided by ICORX;
- Distribute any part of the program content or LMS Platform materials in any medium without prior written authorization from ICORX;
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of ICORX content for commercial purposes beyond what is expressly permitted under these T&C;
- Use ICORX trademarks or logos for unauthorized purposes, including unsolicited communications or emails;
- Provide incomplete, false, or inaccurate information at any point during enrolment, program tenure, or within any ICORX community;
- Use any automated tool, engine, or software (such as bots or spiders) to navigate or search the LMS Platform;
- Attempt to decipher, decompile, disassemble, alter, modify, or reverse-engineer any part of the LMS Platform;
- Copy or duplicate any ICORX content or information available on the LMS Platform without permission;
- Post or transmit, or cause to be posted or transmitted, any solicitation or communication designed to obtain sensitive information, such as passwords, accounts, or confidential information, from any other user or third party.
Disclaimer
THE ICORX ACADEMY PROGRAMS AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. ICORX AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, SPONSORS, AND PARTNERS DO NOT WARRANT THAT: (A) ICORX SERVICES AND THE LMS PLATFORM WILL BE SECURE, ERROR-FREE, OR AVAILABLE AT ANY SPECIFIC TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE THROUGH THE LMS PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE LMS PLATFORM WILL MEET YOUR REQUIREMENTS. ICORX SERVICES MAY EXPERIENCE LIMITATIONS, DELAYS, OR OTHER ISSUES INHERENT IN INTERNET AND ELECTRONIC COMMUNICATIONS. ICORX IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR DAMAGES RESULTING FROM SUCH ISSUES. YOUR USE OF THE LMS PLATFORM AND ICORX SERVICES IS SOLELY AT YOUR OWN RISK.
Upon meeting the criteria and requirements for program completion, as determined by ICORX, you will receive a certificate of successful completion (“Program Certificate”). The decision to award any certificate or acknowledgment of program completion is at the sole discretion of ICORX Academy and may vary by program. ICORX reserves the right to modify these criteria at any time.
Affiliation & Accreditation
ICORX Academy is under no obligation to have its programs, content, or certificates recognized by or affiliated with any educational institution or accreditation organization. ICORX provides professional upskilling services through industry-curated programs hosted on the ICORX LMS Platform. The platform and the company are not a university, and students understand that ICORX cannot issue certificates recognized by regulatory bodies such as the All-India Council for Technical Education or the University Grants Commission.
It is the responsibility of the student to verify the accuracy, suitability, and relevance of a program before enrolment. Enrolment in any ICORX program is non-transferable.
You acknowledge that parts of the LMS Platform may be supported by third-party service providers. You agree to comply with the terms and conditions of these providers as applicable. ICORX is not responsible for any disruptions to its services caused by these third-party providers.
Indemnification
You agree to defend, indemnify, and hold harmless ICORX, its affiliates, subsidiaries, and their respective employees, contractors, directors, suppliers, and representatives from all liabilities, losses, claims, and expenses, including reasonable attorney’s fees, arising from or related to (i) your use or misuse of, or access to, the LMS Platform, communities, and/or ICORX Services; (ii) your violation of the T&C or any applicable law; or (iii) your infringement of any third-party rights related to the LMS Platform. ICORX reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will assist and cooperate with us as needed.
GOVERNING LAW/ ARBITRATION
The laws of India shall govern this MOU. Any disputes between the parties shall be resolved by mutual discussions. Unresolved disputes, if any, shall be subject to resolution by arbitration in accordance with Arbitration and Conciliation Act, 1996 as amended from time to time. The language of the arbitration shall be English and the decision of the arbitrators shall be final and binding on the parties. The venue of Arbitration shall be Chhatrapati Sambhajinagar. If dispute could not be resolved by the Arbitrator, Court of Chhatrapati Sambhajinagar (Aurangabad) shall have jurisdiction over any action arising out of this MOU and over the parties, and the venue shall be Chhatrapati Sambhajinagar, Maharashtra, India.
Miscellaneous
If any provision of these T&C is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, so that these T&C will otherwise remain in full force and effect.
Failure by ICORX to enforce any right or act regarding a breach by you shall not constitute a waiver of that right or any other provision within these T&C unless expressly consented to by ICORX in writing.
These T&C are personal to you and are not assignable or transferable without ICORX’s prior written consent. ICORX may assign, transfer, or delegate any of its rights and obligations without your consent.
These T&C do not create an agency, partnership, joint venture, or employment relationship, and neither party has the authority to bind the other in any respect.
All notices under these T&C will be in writing and will be considered duly given upon receipt if personally delivered or sent by registered mail; upon electronic confirmation if sent by email; or two days after dispatch if sent by recognized overnight delivery service.
ICORX shall not be liable for any failure to perform or delay in performance of any of its obligations if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, governmental actions, war, terrorism, pandemics, epidemics, floods, fire, power outages, or severe weather conditions.
By accepting these T&C and using ICORX Academy’s services, you confirm that you are at least 18 years of age. By using ICORX Services, you represent that you have the right, authority, and capacity to agree to these T&C and to abide by all terms and conditions set forth herein.
Grievances
If you have any questions or complaints regarding the use of the ICORX LMS Platform, including but not limited to reporting any violations of these Terms of Service, please contact our Grievance Officer at support@icorx.com. Complaints will be addressed in accordance with the procedures outlined under the Information Technology Act, 2000, and related rules.
Definitions
The following terms used in these T&C are defined as follows:
- “Student,” “You,” “Learner”: Refers to any user who has enrolled and paid for any of the Programs offered by ICORX Academy and accessible via the LMS Platform.
- “LMS Platform”: Refers to the websites hosted under the ICORX domain (shreyasmodi.com and academy.icorx.com) and any third-party LMS platform, including chat groups, social media forums/pages, communities, and webpages hosted by ICORX that may allow you to access or use ICORX Program Content & Services through any device or medium.
- “ICORX Content”: Includes all questionnaires, study materials, course content in various formats, ideas, concepts, systems, LMS Platforms, software, interfaces, tools, templates, methods, processes, algorithms, trade secrets, and other technologies and information developed or licensed by ICORX prior to or outside the scope of these T&C, as well as any modifications or derivative works thereof. ICORX Content excludes User Data.
- “User Data”: Refers to all electronic data, information, or content submitted or provided by a user to be stored, collected, or processed by ICORX in connection with the user’s authorized use of ICORX Services.
